ON+ GLOBAL RESPONSE

MEMBERSHIP TERMS AND CONDITIONS

Effective January 31, 2025

THIS LEGAL AGREEMENT BETWEEN YOU AND ON+ GLOBAL RESPONSE LLC APPLIES TO YOUR ON+ GLOBAL RESPONSE MEMBERSHIP. IT IS IMPORTANT THAT YOU READ AND UNDERSTAND THE FOLLOWING TERMS. BY CLICKING “AGREE,” YOU ARE AGREEING THAT YOU WILL BE BOUND BY THESE TERMS AND CONDITIONS. PLEASE READ THEM CAREFULLY.

These terms and conditions are between you (and any of the Enrolled Persons you add to your membership) and ON+ Global Response LLC (“OGR”). They apply to your ON+ Global Response membership.

Your ON+ Global Response membership will be automatically renewed unless you take action to cancel your membership. OGR will provide you with notice of automatic renewal at least 30 days before the expiration date. Instructions on how to cancel your membership and additional details about automatic membership renewal are set forth in Section 5 (Autorenewal).

Please note that in some states, consumers may cancel a contract (and receive a refund) shortly after signing it, in certain circumstances. If you believe that applies to you, please review Section 6 (Right to Cancel).

These terms and conditions include provisions that limit OGR’s liability to you and Enrolled Persons (Section 12) and require you to arbitrate claims.

These terms and conditions are available on the ON+ Global Response Website (onplus.com) and may be changed at any time without notice. However, the terms and conditions in effect when you purchase or renew your membership will apply to your membership for the applicable Term. 1. How to Enroll. You may purchase an ON+ Global Response membership any time at onplus.com. You are the “Primary Member.” Your date of enrollment is your “ON+ Global Response Membership Date.” Benefits are effective on the date of enrollment, subject to the terms and conditions set forth herein. You will receive an email confirming your enrollment.

2. Annual, Non-Refundable Membership Fee. The annual cost of an ON+ Global Response membership is a nonrefundable fee of $995 (the “ON+ Global Response Membership Fee”). OGR reserves the right to terminate your membership immediately if (i) the annual fee is not paid in full, or (ii) OGR does not receive payment for any other reason.

3. Payment. You may purchase your ON+ Global Response membership using any payment method accepted at onplus.com.

4. Term. Your ON+ Global Response membership term is one year from the date of purchase (the “Term”). Your membership will end at midnight on the last day of the Term and be immediately automatically renewed for a subsequent Term.

5. Autorenewal. Your membership will automatically renew each year unless you take action to stop such automatic renewal. To stop your membership from renewing, you must send written notice from the email you used to sign up, or the email associated with your OGR membership account, to OGR at [email protected] or by letter (delivered by a nationally recognized overnight delivery service or first-class postage prepaid mail) to: ON+ Global Response, 915 Broadway, Suite 1204, New York, NY 10010, Attn: Legal. OGR must receive your notice at least 7 days before the end of your current membership term. Halting automatic renewal is the same as cancelling your membership, which will end at the end of the then-current Term.

6. Right to Cancel. You may cancel your ON+ Global Response membership at any time. If you cancel during the Term, your membership fee for that Term is not refundable. Some states allow cancellation shortly after signing with a refund. To cancel, you must send written notice from the email you used to sign up (or your OGR membership account email) to OGR at [email protected] or by letter (using a nationally recognized overnight delivery service or first-class postage prepaid mail) to: ON+ Global Response, 915 Broadway, Suite 1204, New York, NY 10010, Attn: Legal.

7. Persons Covered (“Enrolled Persons”).

7.1. Your ON+ Global Response membership covers you (the Primary Member) plus up to eleven (11) additional individuals (each an “Enrolled Person”). Enrolled Persons must reside in the United States or Canada. References to “United States” mean the 50 United States and Puerto Rico (and no other territories). If another country’s law applies, the membership will be void and your only remedy will be a refund of the applicable fee. Members must be natural persons.

7.2. The Primary Member is the only person authorized to add Enrolled Persons. To add an Enrolled Person after your enrollment date, send an email to AirMed at [email protected]. Once added, the Enrolled Person’s benefits begin on their enrollment date (subject to these terms) and cannot be removed or exchanged prior to the Term’s expiration.

8. Operator; Air Transport and Other Services. AirMed or one of its authorized affiliates provides the Part 135 air transportation services and is the FAA-certified operator of the aircraft for the ON+ Global Response membership. AirMed is solely responsible for delivering the membership benefits; OGR does not provide air transport or medical services.

9. Benefits.

9.1. Air Medical Repatriation. If an Enrolled Person traveling more than 150 nautical miles from their residence is (a) admitted to a hospital more than 150 nautical miles from their residence in the United States or Canada, or (b) diagnosed with COVID-19 (and requires medical transport without hospitalization) within specified regions—and if their physician and AirMed’s medical director determine that air transport with a medical escort is appropriate—then, at the Enrolled Person’s request, AirMed will provide private air medical transport or, if appropriate, commercial airline transport with a medical escort. Transport is provided on a bedside-to-bedside basis to a hospital of the Enrolled Person’s choice (or to their residence, as applicable). If space and patient care permit, family members, business associates, and/or traveling companions may accompany the Enrolled Person (see Section 10.8).

9.2. 24/7 Worldwide Member Services Hotline. This program connects Enrolled Persons 24 hours a day, seven days a week to AirMed’s worldwide resources. With coordination from AirMed’s Membership Services Team, you and each Enrolled Person have access to AirMed’s Global Operations Center (GOC) for information on obtaining medical care while traveling.

9.3. Transport of Mortal Remains. In the event of an Enrolled Person’s death while traveling more than 150 nautical miles from their residence, AirMed will, at no additional cost, arrange to return the mortal remains to a funeral facility in the city of the Enrolled Person’s primary residence as requested by the family.

10. Air Medical Transport: Arrangements, Suitability and Additional Passengers.

10.1. AirMed shall determine whether the criteria for air medical transportation are met. If an Enrolled Person’s request is denied, they may appeal, and AirMed’s Medical Director will review the appeal. AirMed will communicate its final determination within 24 hours of receiving the appeal.

10.2. The decision to hospitalize any Enrolled Person is subject to the judgment of the Enrolled Person and his/her/their health care and/or insurance provider.

10.3. AirMed shall coordinate all medical care and communications during the transport process, including maintaining contact information for doctors and medical facilities in the area where the Enrolled Person is traveling.

10.4. AirMed shall work with both family members and on-site medical providers to obtain a medical report, monitor the Enrolled Person’s condition, arrange transport if necessary, and relay information throughout the process.

10.5. AirMed will arrange each air medical transport (including timing, type of aircraft, etc.). This membership program provides pre‑paid medical transportation—not insurance. AirMed will not reimburse for medical or transport expenses incurred independently. Decisions regarding urgency, timing, and means of transportation are made by AirMed’s medical department in consultation with the relevant physicians. Emergent patient transports (i.e., those requiring pickup within 5 hours as ordered by a qualified first responder) are not covered. If emergent treatment is received and the Enrolled Person is admitted locally, they may then qualify for repatriation benefits under these terms.

10.6. Enrolled Persons with mild lesions, simple injuries (e.g., sprains, simple fractures) or mild conditions treatable locally—and who can continue their trip or return home—do not qualify for air medical transport. (Subject to appeal, all decisions by the AirMed medical department are final.)

10.7. On some cruise ships, due to limited medical facilities and testing, AirMed’s Medical Director may require that an Enrolled Person be admitted to an onshore hospital before dispatching the aircraft.

10.8. Family members, business associates, and/or traveling companions may accompany an Enrolled Person, at no additional cost, on AirMed aircraft if space and patient care allow. (On scheduled commercial flights, accompanying passengers must pay their own airfare. Also, due to limited space on AirMed aircraft, each Enrolled Person and one accompanying passenger are limited to one small carry-on bag; additional luggage will be forwarded at the Enrolled Person’s expense.)

11. Qualifications, Limitations and Exclusions.

11.1. Medical Tourism. An Enrolled Person traveling outside the United States or Canada solely for medical treatment (inpatient, outpatient, experimental, or otherwise) is not eligible for services or benefits for that condition.

11.2. Locations Inaccessible by Fixed Wing Aircraft. If applicable, both the originating and receiving hospitals must be reasonably accessible by ground ambulance to an airfield that can accommodate an AirMed aircraft. Transportation costs from ships, isolated areas, or islands to such an airport are not included and are the Enrolled Person’s responsibility. Benefits do not include helicopter transportation.

11.3. High Risk / Safety Travel Restrictions. Air medical transportation services are not available in areas where U.S. government or FAA travel restrictions apply.

11.4. High Risk / Safety Medical Restrictions. An Enrolled Person will not receive air medical transport if their condition is due to (a) suicide, attempted suicide, or intentional self-injury; (b) their own criminal or felonious act; (c) war, invasion, civil unrest, or terrorism; or (d) contagious airborne pathogens (except that this limitation does not apply to COVID-19). Additionally, an Enrolled Person with an unmanageable psychiatric or mental disorder or one beyond the second trimester of pregnancy (if the transport is related to the pregnancy) will not be transported.

11.5. Waiting Periods. An Enrolled Person may be ineligible for transport due to illness or injury if they were hospitalized for a related condition within 30 days prior to enrollment. (For example, if you add an Enrolled Person after enrolling, they may not be eligible for transport for 30 days after being added.)

11.6. Ineligible and Excluded Transports.

11.6.1. An Enrolled Person being evaluated for or on an organ transplant list prior to enrollment will not be entitled to transport for conditions related to that transplant.

11.6.2. An Enrolled Person who is hospitalized at the time of enrollment (or added later) will not be eligible for transport benefits for that hospitalization and may be refused membership.

11.7. Extended Travel Limitation. Membership is valid for unlimited domestic travel (within the United States or Canada) and for international travel limited to 90 consecutive days per trip.

11.8. Maximum Number of Transports. Air medical transportation services are limited to two separate flights per annual membership (not per Enrolled Person), except when multiple individuals in a single membership require simultaneous repatriation—each then receives one transport.

12. Limitation of Liability.

12.1. AirMed is solely responsible for all claims arising from any occurrence, accident, or incident on or in connection with its (or its affiliates’) aircraft, including personal injuries, property damage, or wrongful death. OGR will require AirMed to maintain combined single limit liability insurance (including passenger liability).

12.2. OGR is not responsible for any negligent acts or omissions by AirMed or its personnel and is not liable for personal injury, property damage, accidents, delays, or inconveniences.

12.3. OGR shall not be liable under any theory (contract, negligence, strict liability, etc.) for (i) consequential, indirect, incidental, special, punitive, lost profits, exemplary, or reliance damages; or (ii) amounts in excess of the price you paid for your membership in the year the claim occurred.

13. Insurance.

13.1. OGR will require AirMed to maintain aviation liability insurance with limits of not less than $100 million for any one accident (or series of accidents arising from a single event) for claims regarding injuries to passengers or third parties and property damage.

13.2. OGR will also maintain at least $1 million in general liability coverage for its performance as the reseller of the membership.

13.3. YOU AGREE TO ACCEPT THE PROCEEDS OF THE INSURANCE COVERAGES DESCRIBED ABOVE AS YOUR SOLE RECOURSE AGAINST OGR OR AIRMED FOR ANY LOSS OR DAMAGE (INCLUDING, WITHOUT LIMITATION, INJURY, DEATH, OR PROPERTY DAMAGE) TO ANY PASSENGER; PROVIDED THAT THIS LIMITATION DOES NOT APPLY IN THE EVENT OF PROVEN GROSS NEGLIGENCE OR WILLFUL MISCONDUCT BY OGR OR AIRMED REGARDING THE ARRANGED INSURANCE COVERAGES.

14. Applicable Law; Compliance with Applicable Law. These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Each Enrolled Person (including you) and OGR will comply with all applicable laws (including aviation safety, customs, immigration, border quarantine, anti-bribery, anti-money laundering, and sanctions laws) in performing their obligations under these terms.

15. Disputes; Mandatory Arbitration. All disputes arising from or related to your membership and these terms shall first be escalated internally to an OGR executive with authority to resolve the issue. If unresolved, disputes shall be settled by binding arbitration before a panel of one arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction. The arbitration shall take place in New York, New York, and no class arbitration is permitted.

16. Events Beyond Reasonable Control (Force Majeure). Neither OGR nor AirMed shall be liable for any failure or delay in performance under these terms to the extent such failure or delay is caused by events beyond their control, including acts of God, air traffic congestion, unscheduled aircraft maintenance or safety needs, earthquakes, disease outbreaks, crew emergencies, floods, government actions or inactions, supply chain disruptions, labor strikes, riots, terrorism, volcanic eruptions, or war. In such cases, the affected party will use commercially reasonable efforts to arrange an alternative means of performance.

17. Privacy Notice. We will collect personal data from you and each Enrolled Person as part of the enrollment process and to manage your membership. Please review our Privacy Policy at onplus.com. In addition:

17.1. OGR does not collect personal health or medical information. Any such information should only be shared with AirMed as necessary.

17.2. OGR will collect from you and each Enrolled Person the following: Full Name, Date of Birth, Residence Address, Email Address, and Phone Number. OGR shares this information with AirMed to validate your membership and facilitate services. OGR may also share this information with its affiliate companies (e.g., REAL H.I. LLC) for membership servicing.

17.3. If you use a credit card for payment, OGR will collect your Full Name, credit card number, expiration date, and CVV/CVC to facilitate payment.

18. Additional Terms and Conditions.

18.1. Further Assurances. You agree to take any further actions reasonably requested by OGR in connection with the services provided under these terms.

18.2. Transferring Membership. Your ON+ Global Response membership is not transferable.

18.3. Reselling Membership or Benefits. You shall not resell any services, offers, or benefits provided as part of your membership, nor use OGR’s or AirMed’s logos, trademarks, or service marks.

18.4. Your Representations. You represent and warrant that (a) you will use the services (including any related software or applications) only in accordance with applicable law and these terms; (b) you are at least 18 years old; (c) you have the right, authority, and capacity to agree to and abide by these terms; and (d) you are not subject to any U.S. sanctions (including those enforced by the Office of Foreign Assets Control). You will access the services only by authorized means.

18.5. Entire Agreement; No Other Offers. These terms constitute the entire agreement between you and OGR regarding an ON+ Global Response membership.
